Fourth Quarter and Full Year 2011 Highlights

Excluding the effects of the Global Crossing acquisition, completed on Oct. 4, 2011, on a standalone basis, Level 3:

• Grew Core Network Services revenue by 2.6 percent sequentially and 7.9 percent year-over-year, on a constant currency basis
• Achieved double-digit Consolidated Adjusted EBITDA growth of 13 percent for the full year 2011 compared to the full year 2010
• Generated $103 million of positive Free Cash Flow in the fourth quarter 2011 and negative $32 million for the full year 2011, exceeding annual Free Cash Flow projections by positive $83 million
• Capital expenditures were $443 million for the full year 2011, approximately 12 percent of total revenue

For the Global Crossing business on a standalone basis:

• Excluding UK Government revenue declines, “Invest and Grow” revenue was flat sequentially and increased three percent year-over-year, on a constant currency basis
• Grew GC Impsat “Invest and Grow” revenue by two percent sequentially, and nine percent year-over-year, on a constant currency basis

Trans National Communications International Inc., a privately held reseller and VoIP carrier based in Boston, filed Sunday for protection under Chapter 11 of the U.S. bankruptcy code. The news spread quickly through the agent community, raising concerns the carrier might cancel agent contracts and discontinue evergreen commission payments.

A company spokesperson responded to Channel Partners� inquiries on the implications for channel partners, saying that the company already is holding calls with its agents about the situation. TNCI President Brian Twomey also offered the following statement:

“We will use this time under reorganization to regain our financial health and focus. While we will continue to operate our business without interruption to our customers, agents and employees throughout this process, we hope to emerge from Chapter 11 as quickly as possible. TNCI does fully recognize the importance of the Agent Channel to the future of our business and every step we are making is to preserve these vital relationships, along with those we have with our customers and our employees.�

But let me add that it is down from 28% just last year and it continues to decrease since they added cable guards to our plant.

Honestly, ��I don�t understand what the big attraction is or why they feel compelled to gnaw through cables. The guys in the field have given this some thought and jokingly suspect the cable manufacturers of using peanut oil in the sheathing.

Windstream Corp. (Nasdaq: WIN) has entered into a definitive agreement to acquire PAETEC Holding Corp. (Nasdaq: PAET), based in Fairport, N.Y., in a transaction valued at approximately $2.3 billion.

�This transaction significantly advances our strategy to drive top-line revenue growth by expanding our focus on business and broadband services,� said Jeff Gardner, president and CEO of Windstream. �The combined company will have a nationwide network with a deep fiber footprint to offer enhanced capabilities in strategic growth areas, including IP-based services, data centers, cloud computing and managed services. Financially, we improve our growth profile and lower the payout ratio on our strong dividend, offering investors a unique combination of growth and yield.�

PAETEC shareholders will receive 0.460 shares of Windstream common stock for each PAETEC share owned under the terms of the agreement which was approved by the boards of directors of both companies. Windstream expects to issue approximately 73 million shares of stock valued at approximately $891 million, based on the company�s closing stock price on July 29, 2011.

Windstream also will assume or refinance PAETEC�s net debt of approximately $1.4 billion at the time of closing.� PAETEC stockholders are expected to own approximately 13 percent of the combined company upon closing of the transaction.

Significant Synergies and Tax Attributes Drive Free Cash Flow Accretion

The transaction is expected to be accretive to free cash flow per share, excluding merger and integration costs, in the first year following the closing. The transaction is expected to generate annual pre-tax operating cost synergies of approximately $100 million and capital expenditure savings of approximately $10 million, which are expected to be fully realized by the third year after closing.� Windstream expects to incur merger and integration costs of approximately $50 million in operating expense in the first year following the closing and approximately $55 million in capital expenditures over the first three years following closing.

The transaction will allow annual PAETEC net operating loss utilization of approximately $130 million in each of the first 5 years. The tax benefits will have an estimated net present value of approximately $250 million.

Enhanced Scale and Improved Business Mix

The combined company would have had $6.1 billion in total revenue and about $2.4 billion in adjusted operating income before depreciation and amortization, which excludes non-cash pension expense, restructuring charges and stock-based compensation expense, on a pro forma basis for the last 12 months ended March 31, 2011. Business and broadband revenues would have comprised approximately 70 percent of total revenue.

The new company will serve business customers in 46 states and the District of Columbia and maintain approximately 100,000 fiber route miles across the country. Windstream will offer data center services across the United States and have improved capability to serve multi-location business customers.

Strong Balance Sheet and Liquidity

Windstream will continue to have a strong balance sheet and liquidity. The transaction will be slightly deleveraging, including synergies.

Committed Financing

Windstream has received $1.1 billion in committed financing in connection with the acquisition, which financing would be required if Windstream refinances the assumed debt.

Dividend Practice

Windstream pays an annual dividend of $1 per share and its board of directors expects to continue the current dividend practice after the transaction closes.

Approvals and Anticipated Closing

The transaction is expected to close within six months, subject to certain conditions, including necessary approvals from federal and state regulators and PAETEC shareholders.

PAETEC Overview

PAETEC is a competitive local exchange carrier and provides� telecommunications services primarily to business customers in 46 states and the District of Columbia. The company operates seven data centers in the U.S. and owns approximately 36,700 route miles of fiber in portions of 39 states and the District of Columbia.

PAETEC has approximately 5,000 employees, including about 875 in the Rochester, N.Y. area. The company was founded in 1998.

CenturyLink, Inc. (NYSE: CTL) plans to invest at least $20 million to improve and expand broadband communications services in New Mexico now that it has merged with Qwest Communications.

“This investment by CenturyLink to expand broadband services in New Mexico is an effective way for the company to introduce itself to the state,” New Mexico Public Regulation Commission chairman Pat Lyons said. “CenturyLink is New Mexico’s leading communications provider now that its merger with Qwest is complete. We look forward to the additional resources and opportunities that this increased Internet connectivity made possible by CenturyLink will provide the people of New Mexico.”

With the Qwest merger completed, CenturyLink is focusing on improving and expanding broadband availability and increasing connectivity speeds to consumers.

“As a result of CenturyLink’s merger with Qwest, the combined company now has the financial strength, national breadth, and local depth to provide a compelling array of broadband products and high bandwidth services in New Mexico,” said Valerie Dodd, vice president and general manager for CenturyLink in New Mexico.

Dodd and her Albuquerque-based local operations team currently are studying the communities CenturyLink serves in the state to determine where to deploy the expanded broadband infrastructure that the new initiative will fund. �The company wants to ensure the expansion effort delivers the best possible high-speed Internet experience to New Mexico customers.

CenturyLink will implement the expanded broadband program over the next several years. The investment is in addition to the millions the company spends in the state annually to improve and expand its existing communications network.

PAETEC Holding Corp. (NASDAQ GS: PAET) announced today the deployment of PAETEC Visual Messaging which seamlessly integrates enterprise voicemail systems with leading smart phone and tablet devices. The service then automatically transcribes the voicemail to text, and both the audio file and transcription of the message are presented visually on the user’s mobile device, eliminating the need to dial into voicemail systems.

The Visual Messaging product consolidates all voice messages for a user, including office and mobile voicemail, for quick and easy retrieval of the recorded voice message or transcribed text on Android, Apple, and Blackberry platforms as well as assorted tablets. The user may then review, reply, or forward the transcribed voicemail messages in the order of their choosing, even during a meeting.

CenturyLink, Inc. (NYSE: CTL) announced today that it will join the Internet community as a World IPv6 Day participant. On June 8, 2011, CenturyLink� Business will participate in what is described as a “test flight” to ensure a successful transition to Internet Protocol Version 6 (IPv6). As a leading provider of IPv6 services, CenturyLink is helping jump start adoption of IPv6 while also creating a transition path for business customers to embrace the new Internet addressing system.

“CenturyLink is continuing its leadership as a network operator by participating in this historic event,” said Pieter Poll, senior vice president of network planning engineering and construction for CenturyLink. “The groundwork that comes out of World IPv6 Day will help set the stage for worldwide adoption of the evolving Internet. Organized by The Internet Society (ISOC), World IPv6 Day is a 24-hour trial to motivate Internet service providers, network operators, operating system vendors and web companies to prepare their services for the almost limitless supply of IPv6 addresses and ensure a successful transition as the world’s supply of IPv4 address space runs out. Transitioning to IPv6 will take time as the new protocol is not backward compatible with IPv4. For this reason, the two protocols will coexist as networking devices are enabled to seamlessly support both. CenturyLink and all other World IPv6 Day participants will also gather input on our network and the customer experience in order to gain best practices and improvements for deployment as adoption of IPv6 becomes ubiquitous.

As the world’s supply of IPv4 addresses exhausts, IPv6 addresses will accommodate approximately 5 x 10^28 addresses for each of the roughly 6.5 billion people alive today. This expansion allows for many more computers, smart phones, automobiles, Web-based devices as well as additional users to join the Internet community. Network security is also integrated into the design of the IPv6 architecture, and the IPv6 specification mandates support for IP security as a fundamental interoperability requirement.

Participation in World IPv6 Day by CenturyLink Business continues the company’s leadership of addressing the Internet’s explosive growth. �In July 2010, Qwest (which subsequently has been acquired by CenturyLink) announced it was offering both public and private IPv6 based services.

To help government and enterprise customers understand the transition, CenturyLink offers options to migrate from IPv4 to IPv6. PAETEC Holding Corp. (NASDAQ GS: PAET) announced the launch of an expanded portfolio of cloud-based products and the planned deployment of new data centers coast-to-coast.

As part of its overall cloud and data center strategy and leveraging its breadth and depth of experience in the cloud and data center space, PAETEC plans to add 13 data centers coast-to-coast by the end of 2012 to its current set of seven centers which will result in the company operating 20 centers nationwide. Additionally, the company released new cloud-based products and enhanced existing products for businesses including Dedicated Server, Virtual Server, Managed Storage, and Hosted Exchange. Cloud-based services refer to applications being housed, managed, and maintained in highly secure and fault-tolerant data centers, relieving day-to-day responsibilities from IT staffs allowing them to focus on more strategic initiatives.
