<p><a href="http://vartips.com/"><img class="alignleft size-full wp-image-180" title="xo" src="http://vartips.com/wp-content/uploads/xo.gif" alt="" width="52" height="40" /></a>XO Communications (OTCBB: XOHO) today announced that it is expanding its international network services capabilities to include European IP/MPLS IP-VPN nodes, plus access to 48 countries throughout Europe, Asia/Pacific, North America, and South America as well as the U.S. territories of Guam, Puerto Rico and the U.S. Virgin Islands. Once complete, the expansion will enable XO Communications to offer its enterprise and carrier customers Dedicated Internet Access, Ethernet, MPLS IP-VPN and Private Line services to more locations around the world.</p>
<p>By expanding its international services capabilities to better address the needs of its growing base of customers with both domestic and international operations, XO Communications can provide even broader global network coverage for a wide range of connectivity and wide area network solutions across the globe. In addition to Europe, XO Communication’s international network capabilities will also include global MPLS connectivity, and increasing subsea cable landing station/international gateways in the U.S.</p>
<p>“This global expansion of our network services capabilities will enable us to deliver seamless <a href="http://www.10gea.org/global-wide-area-network-services.html">international connectivity</a> and wide area network solutions for our customers,” said Randy Nicklas, chief technology officer at XO Communications. “As more enterprise and carrier customers look to XO Communications to connect both their domestic and international operations, we will be able to offer broader coverage to connect their operations so their employees and customers will have seamless access to applications and information globally.”</p>
<p>XO Communications’ international network services capabilities are available in Europe, Asia/Pacific, and the Americas, with plans for continued expansion.

The initiative demonstrates XO Communications’ strategy to expand its presence in existing XO markets in order to serve more enterprise customers with its award-winning IP-based communications and managed network solutions and exceptional customer experience.</p>
<p>By expanding the reach of its 19,000-mile nationwide network and establishing additional points of presence across the Phoenix metropolitan area, XO Communications is now able to serve thousands of new businesses and offer them a more competitive alternative for their local and nationwide communications and networking needs. The expansion increases XO Communications’ reach across the eastern metropolitan area of Phoenix in Chandler, Gilbert and Mesa, adds more than 130 route miles to the XO network, and provides direct access to 200 additional buildings. In addition, XO Communications has also deployed Ethernet over copper technology more broadly across its network in Phoenix in order to offer more businesses scalable, high-speed Ethernet access over last mile copper.</p>

While fewer than 5 percent of all businesses in the U.S.  are connected via fiber (New Paradigm Resources Group, 2010), the XO EoC network  alone reaches more than 1 million businesses. In fact, the XO EoC network  footprint far exceeds the coverage of even the largest Ethernet service  providers, many of which are limited to their fiber networks and reach only a  few thousand buildings. In addition, by bonding copper pairs, XO Communications  enables customers to scale their delivered bandwidth in cost-effective  increments from 3 Mbps up to 20 Mbps.</p>
<p>The expanded EoC network further affords carrier customers looking for viable  local loop alternatives – a search driven by the recently announced ILEC  special-access rate increases – the ability to transition to more scalable and  cost-effective Ethernet technology. Rather than adding additional T1 lines –  and, as a result, dramatically increasing network costs – carriers can now  incrementally increase their capacity as customer demand for bandwidth  grows.</p>
<p>This growing customer demand is also significant in light of the recent FCC  report (FCC Sixth Broadband Deployment Report, July 2010) that determined T-1  (1.5 Mbps) is no longer considered broadband service, and therefore  insufficiently meets the bandwidth needs of customers in the U.S. With the  broadband standard now defined as 4 Mbps downstream and 1 Mbps upstream,  EoC-based services provide carriers with the speed and reliability required for  using today’s bandwidth-intensive broadband applications and services.</p>

<p>XO Holdings, Inc. (OTCBB: XOHO) today announced its second quarter 2010 financial and operational results.Adjusted EBITDA was $40.5 million in the second quarter of 2010, an increase of $3.4 million compared to the year-ago period. Net loss in the second quarter of 2010 was $1.2 million, a decrease of 80% compared to the net loss of $6.0 million in the second quarter of 2009.</p>
<p>Total revenue for the second quarter of 2010 was $383.6 million, a decrease of $2.0 million, or 1%, compared to the year-ago period. This decrease primarily resulted from targeted price increases within XO&#8217;s wholesale long-distance services, which were implemented to improve margins on selected routes.</p>
<p>The company continues to closely monitor and react to the impact of macro-economic conditions on our industry and customers. &#8220;While we, like other wireline telecommunications services providers, continue to face short term challenges, we remain bullish on the long term potential for the company,&#8221; said Carl Grivner, chief executive officer of XO Communications.</p>

<p><strong>Revenue</strong><br />
In the second quarter of 2010, XO&#8217;s Broadband offerings generated $220.0 million in revenue, an increase of $24.6 million, or 13%, from the year-ago period. This increase resulted from the continued growth in XO&#8217;s diverse broadband offerings, such as IP-VPN, IP Flex, Ethernet and Dedicated Internet Access services.<br />
The revenue growth in XO&#8217;s Broadband services is partially offset by the year-over-year decrease in Integrated/Voice and Legacy TDM services. Revenue for Integrated/Voice Services during the second quarter of 2010 was $56.8 million, a decrease of $17.7 million, or 24%, compared to the year ago period. This category is inclusive of XO&#8217;s wholesale long distance offering, Carrier Long Distance Termination (CLDT), which declined $4.2 million compared to the year-ago period. This decline was the result of aforementioned targeted price increases implemented to improve margins on selected routes.

<p><img class="alignleft size-full wp-image-180" title="xo" src="http://vartips.com/wp-content/uploads/xo.gif" alt="" width="52" height="40" />XO Communications (OTCBB: XOHO) today announced the promotion of Barbara Polk to senior vice president of human resources, effective immediately. A seasoned professional, Polk brings more than 20 years of experience in human resources management and strategic consulting for both for-profit and non-profit organizations.</p>
<p>In her new role, Polk is responsible for leading the company’s human resources strategy and working with XO’s senior management team to ensure that all human resources programs align with the company’s overarching business goals. This entails developing and implementing a wide range of human resources programs and functions for XO’s employees nationwide, including employee relations, education, management systems, recruiting, compensation and benefits. Polk will report directly to Carl Grivner, chief executive officer of XO.</p>

<p>Previously, Polk served as vice president of human resources at XO, where she directed all corporate and regional human resources management and operations, including training, employee communications, human resources management systems and workforce planning. Prior to joining XO, she led the human resources department and strategy at Reading is Fundamental, Inc., the nation’s oldest and largest non-profit children’s literacy organization. Polk also brings a depth of industry experience, having worked with leading organizations such as Suburban Hospital Healthcare System, MCI Communications, American Gas Association and Revlon, Inc.</p>
<p>A graduate of Rutgers University, Polk has a Bachelor’s degree in political science. She’s also working towards her Master’s degree in human resources management from the University of Maryland.

<p>XO Holdings, Inc. (OTCBB: XOHO) today announced its 2009 fourth quarter and full year financial and operational results, reporting yearover- year growth in adjusted EBITDA and net income. Total revenue for 2009 was $1.5 billion, an increase of $43.7 million, or 3.0%, compared to 2008. Adjusted EBITDA (a non-GAAP financial measure) increased 38.7% to $152.6 million for the full year 2009, compared to $110.0 million for 2008. Loss from operations for 2009 was $47.2 million, compared to $84.8 million in 2008. The company recognized a net income of $21.8 million in 2009, compared to a net loss of $75.3 million in 2008. Net income (loss) included net investment gains of $60.0 million and $19.2 million for 2009 and 2008, respectively.<br />
Total revenue for the fourth quarter of 2009 was $375.8 million, an increase of $0.6 million, or 0.2%, compared to the same period last year. Adjusted EBITDA was $43.3 million in the fourth quarter of 2009, compared to $34.4 million in the same period last year. Loss from operations for the fourth quarter 2009 was $13.1 million, compared to $18.7 million in the fourth quarter of 2008. Net income for the fourth quarter 2009 was $13.3 million compared to $21.5 million for the year-ago period. Fourth quarter net income for 2009 and 2008 was impacted by $25.7 million and $30.5 million in net investment gains, respectively.</p>

<strong>Core Services</strong><br />
Revenues derived from core broadband services such as high-speed Internet access, Ethernet,<br />
IP, private line and wavelength services continued to grow steadily throughout the year, but<br />
were partially offset by the planned and anticipated decline in XO&#8217;s Legacy/TDM services. In the<br />
fourth quarter of 2009, broadband services generated $209.8 million in revenue, up 16.6%<br />
compared to the same period last year. For the full year 2009, broadband services generated<br />
$798.4 million in revenue, up 19.0% from 2008 and represents 52.5% of total revenue for 2009,<br />
compared to 45.4% of total revenue for 2008.<br />

<strong>Fourth Quarter Network and Operations Highlights</strong><br />
Throughout 2009, XO continued to execute upon its strategy of providing best-in-class<br />
broadband products and services to mid-sized businesses, large enterprises and wholesale<br />
customers throughout the United States. Specific to the fourth quarter of 2009, it successfully<br />
grew its product portfolio, expanded its network footprint, reached new customers and garnered<br />
recognition from some of the industry&#8217;s leading organizations and publications.<br />
Most notably, XO&#8217;s Business Services division launched its XO Enterprise SIP offering. This new<br />
product gives multi-location businesses the flexibility and scalability to transform their distributed<br />
voice network architecture into a more centralized and cost-effective VoIP solution. During the<br />
fourth quarter of 2009, XO Business Services also expanded its network footprint to include the<br />
Inland Empire region of southern California. As the second largest metropolitan area in southern<br />
California, the Inland Empire comprises thousands of businesses and more than four million<br />
people, making the area ripe with opportunity for XO Business Services.<br />
XO Carrier Services continued to elevate its profile as a tier 1 internet provider of wholesale<br />
broadband services to ISPs and carriers. One notable Carrier customer win from the fourth<br />
quarter of 2009 included Star View, a supplier of business-ready IP communications solutions.<br />
Star View selected XO Carrier Service to provide Dedicated Internet Access and Ethernet over<br />
Copper transport services. As a result, Star View is well positioned to offer its customers highspeed,<br />
high-capacity VoIP services at competitive prices.<br />
During the fourth quarter of 2009, XO was also recognized by leading technology organizations<br />
for its product innovation and information technology (IT) leadership. XO&#8217;s Chief Information<br />
Officer, Robert Geller, was named one of Computerworld&#8217;s Premier 100 IT Leaders for deploying<br />
innovative IT solutions that help XO achieve its strategic business objectives. XO also received<br />
the New Paradigm Resource Group&#8217;s (NPRG) Communications Innovation Award in the &#8220;Most<br />
Innovative Virtualized Services&#8221; category. Specifically, the research firm recognized XO for its<br />
leadership in the convergence of software and network infrastructure services and virtualized<br />
solutions offerings, including its Software-as-a-Service multi-modal mass notification service, XO<br />
Connect.<br />
<strong>Corporate Highlights</strong><br />
On July 9, 2009, XO redeemed 304,314 shares of Class A preferred stock from entities<br />
unaffiliated with the Chairman of the Company&#8217;s Board of Directors (&#8220;The Chairman&#8221;) at an<br />
aggregate purchase price of approximately $18.4 million. On January 15, 2010, XO redeemed all<br />
remaining 599,137 shares of Class A preferred stock held by entities unaffiliated with the<br />
Chairman at an aggregate purchase price of approximately $41.4 million. ACF Holding is the<br />
record holder of the remaining 3,096,549 shares of Class A preferred stock (the &#8220;ACF Holding<br />
Shares&#8221;). XO is required to redeem any outstanding ACF Holding Shares for cash at an aggregate<br />
liquidation preference of up to $217.4 million at a date no later than April 15, 2010.<br />
XO&#8217;s primary capital needs are to finance the cost of operations, to acquire capital assets in<br />
support of the Company&#8217;s operations, to fund the redemption of the Class A preferred stock and<br />
to take advantage of opportunities to enhance the Company&#8217;s competitive position. XO believes<br />
that to remain competitive with much larger telecom and cable companies, significant additional<br />
capital expenditures will be required to enhance and operate the Company&#8217;s fiber network. In<br />
order to maintain XO&#8217;s competitive position, the Company intends to raise additional capital and<br />
continue to explore various alternatives to obtain additional capital. XO continues to believe that<br />
these alternatives should not include an issuance of high yield debt because such an issuance<br />
would be deleterious to XOH for the following reasons: 1) the high cost of such debt will<br />
negatively affect the Company&#8217;s ability to compete in the current highly competitive<br />
telecommunications environment; and 2) the burdensome restrictive covenants associated with<br />
such debt would impair XO&#8217;s ability to pursue potential strategic investments and to take<br />
advantage of other opportunities which may be necessary for the Company to compete in such<br />
environment. In addition, XO believes that certain opportunities exist today in the highly<br />
competitive telecommunications industry that may not recur such as, but not limited to, the<br />
acquisition of other CLECs. For all the above reasons, XO intends to raise additional capital and<br />
continues to explore various alternatives to obtain additional capital in the near future.<br />

<p>XO Communications now offers customers an increased number of incremental bandwidth options to choose from when creating their custom <a title="Ethernet availability locator" href="http://www.10gea.org/carrier-ethernet-broadband-services.htm" target="_blank">XO Ethernet</a> solution. <span id="more-428"></span></p>
<p>Now available in more than 75 metropolitan markets where XO offers services, customers can now obtain new Ethernet transport speeds of 20, 30, 40, 50, 60, 70, 200, 300, 400, or 500 Mbps at XO on-net fiber locations, and speeds of 3, 5, 15 or 20 Mbps at locations served by last mile copper where XO has deployed Ethernet over copper technology.</p>
<p><strong>This also marks the first time the 3 and 5 Mbps mid-band Ethernet access options will be available to XO Communications’ customers for Dedicated Internet access service. </strong></p>

<p>Last year, XO Communications deployed an enhanced Ethernet switching platform in major metropolitan locations across its nationwide network. This platform provided a highly-reliable, service rich next generation infrastructure enabling XO Communications to offer a broader range of Ethernet bandwidth options and services at speeds of 3 Mbps to 10 Gbps. In addition, this platform provided a pathway for XO Communications to offer true any-to-any, multi-site Ethernet solutions, along with multiple classes of service on an on-demand basis.</p>

In his role as president of Business Services, Wagner will focus on accelerating the division’s profitability and revenue growth by creatively integrating new and different approaches to delivering voice, data, converged and managed services for businesses and enterprises.</p>
<p>Wagner is an industry veteran, including fourteen years of combined experience at <a href="http://vartips.com/category/carriers/global-crossing " title="Global Crossing News">Global Crossing</a> and Frontier Communications.  <span id="more-311"></span>Most recently, he served as Global Crossing’s executive vice president of Enterprise and Collaboration Services. He also played a significant role in Global Crossing’s Regional Direct Sales, Government Services, Collaboration Services, Indirect Channels and Sales Engineering divisions. His leadership resulted in increasing sales productivity and customer-focus, streamlining business processes and developing a metrics-driven culture. Wagner also holds a Bachelor of Science degree in Electrical Engineering from Cornell University.</p>
<p>“Dan knows how to attract and retain customers in a highly competitive industry,” said Carl J. <p><img class="alignleft size-full wp-image-180" title="xo" src="http://vartips.com/wp-content/uploads/xo.gif" alt="" width="52" height="40" />XO Holdings, Inc. (OTCBB: XOHO) today announced that it has raised $780 million through the issuance of two new series of preferred stock in order to retire senior debt, fund future growth initiatives and provide ongoing working capital for the business.</p>
<p>XO Holdings, Inc. issued 555,000 shares of the Company&#8217;s 7% Class B Convertible Preferred Stock (&#8220;Convertible Preferred Stock&#8221;) for consideration of $555,000,000 and 225,000 shares of the Company&#8217;s 9.50% Class C Perpetual Preferred Stock (&#8220;Perpetual Preferred Stock&#8221;) for $225,000,000 to affiliates of Carl C. Icahn, the Company&#8217;s Chairman. <span id="more-179"></span></p>
<p>The Convertible Preferred Stock is convertible into shares of common stock of the Company at a conversion price (which is subject to adjustment) of $1.50 per share at the option of the holder commencing one year from the date of issuance (with such commencement date subject to a possible extension of no more than ninety days).  The Perpetual Preferred Stock is not convertible and neither the Convertible Preferred nor the Perpetual Preferred is redeemable at the option of the holder at any time, unless there is a change of control of the Company.</p>
<p>Both the Convertible Preferred Stock and the Perpetual Preferred Stock are subject to mandatory redemption at the request of the holder upon a change of control of the Company and for 120 days thereafter.  Unless paid in cash at the option of the Company&#8217;s Board, dividends on the Convertible Preferred Stock and the Perpetual Preferred Stock will accrete on a quarterly basis at rates of 1.75% and 2.375%, respectively, of the liquidation preference (which is initially $1,000 per share), thus increasing the liquidation preference of the shares.</p>
<p>The Company intends to offer up to 27,750 shares of Convertible Preferred Stock and up to 11,250 shares of Perpetual Preferred Stock (in units, in the same proportion issued to the affiliates of Mr. Icahn, consisting of 2.46667 shares of Convertible Preferred Stock for each share of Perpetual Preferred Stock and 0.405405 shares of Perpetual Preferred Stock for each share of Convertible Preferred Stock) to certain large minority stockholders of the Company that are accredited investors.</p>
<p>As a result of this fundraising, all the Company&#8217;s indebtedness for borrowed money, amounting to approximately $395 million under its Senior Secured Credit Facility as well as approximately $78 million under its $75 Million Senior Note issued in March 2008 (both figures inclusive of accumulated interest), has been retired in full.  The remaining $307 million of proceeds, plus any proceeds from shares purchased by minority stockholders and reduced for transactional expenses, will be used to fund the Company&#8217;s long-term strategic growth plan which will accelerate revenue growth and improve operational efficiencies, as well as provide working capital for its businesses.</p>
<p>Mr. Icahn has been Chairman of XO for the last five years.  He stated, &#8220;With its very strong balance sheet and unique network assets, XO should remain extremely competitive as a CLEC and wholesale carrier.&#8221;</p>

<p>As part of the stock purchase negotiation, XO Holdings, Inc. entered into a new tax allocation agreement with Starfire Holding Corporation, an affiliate of Carl C. Icahn, which replaces an existing agreement.  Under the terms of the new arrangement, Starfire will make payments to XO equal to 30% of the income tax savings that Starfire would receive in the event that the Starfire group utilizes XO&#8217;s income tax losses, up to an aggregate amount of $900 million in losses.  In addition, under certain circumstances the agreement requires Starfire to reimburse or credit XO for income taxes that XO could have saved if Starfire had not utilized certain of XO&#8217;s income tax losses in excess of the $900 million limit.</p>
<p>The terms of the financing were negotiated by the Special Committee of the Board of Directors which is comprised of independent directors and was formed to assist the Company in evaluating financing and other alternatives.  Cowen and Company, LLC acted as financial advisor to the Special Committee and Dechert LLP acted as its legal advisor.</p>
<p>The Stock Purchase Agreement, Certificates of Designation for the Convertible Preferred Stock and the Perpetual Preferred Stock, Registration Rights Agreement and Tax Allocation Agreement included as Exhibits to the Form 8-K to be filed today by XO Holdings, Inc. disclose additional terms and information with respect to the issuance of the Convertible Preferred Stock and the Perpetual Preferred Stock and the Tax Allocation Agreement.</p>
